SmartBookkeeping is a software service operated by Zigetti Ltd, a company incorporated in England and Wales.

"SmartBookkeeping" is the name of the platform.
"Grace Systems" (including gracesystems.ai) refers to the underlying software and automation engine that powers SmartBookkeeping.

All services are provided by Zigetti Ltd.

SmartBookkeeping is a bookkeeping assistance platform designed to help prepare accounting records for review.

It is not:

• an accounting firm
• a regulated bookkeeping practice
• a provider of tax advice
• a replacement for a qualified accountant or bookkeeper

SmartBookkeeping does not:

• submit VAT returns
• file statutory accounts
• make tax determinations
• provide financial, accounting, or tax advice

SmartBookkeeping prepares draft bookkeeping entries only.

This includes (but is not limited to):

• draft bills
• draft invoices
• draft journals
• draft allocations
• draft tracking assignments

You remain solely responsible for:

• reviewing all drafts
• approving or rejecting entries
• posting entries to your accounting system
• ensuring accuracy, completeness, and compliance

By using SmartBookkeeping, you acknowledge and agree that:

• You are responsible for the correctness of all accounting records
• You must review all drafts before posting
• You are responsible for:
  • VAT treatment
  • expense allowability
  • receipt retention
  • statutory compliance
• You remain responsible for your relationship with your accountant or bookkeeper

Outputs generated by SmartBookkeeping are not advice and must not be relied upon as such.

You must not rely on SmartBookkeeping:

• as a substitute for professional advice
• as a guarantee of accuracy
• as confirmation of tax treatment or compliance

You should consult a qualified accountant or tax adviser where appropriate.

SmartBookkeeping uses automated systems and software logic (including the Grace Systems engine) to interpret documents and prepare drafts.

You acknowledge that:

• automation may produce errors
• interpretation depends on document quality and context
• no automated system is infallible

You agree that:

• all outputs require human review
• SmartBookkeeping is an assistance tool, not an authority

SmartBookkeeping integrates with third-party platforms, including accounting software.

SmartBookkeeping is:

• independent
• not authorised by
• not endorsed by
• not affiliated with

any third-party platform referenced, including Xero.

References to third-party services are for descriptive purposes only.

You are bound by the terms of those third-party platforms separately.

SmartBookkeeping processes documents you submit for the sole purpose of preparing bookkeeping drafts.

• Documents may be processed automatically
• Files may be retained temporarily for processing and validation
• Extracted data may be deleted after processing
• Metadata and system logs may be retained for audit, support, and system integrity

SmartBookkeeping:

• does not sell user data
• does not train models on your financial data
• does not use your data for advertising

To the fullest extent permitted by law:

• SmartBookkeeping is provided "as is"
• Zigetti Ltd excludes all warranties, express or implied
• Zigetti Ltd is not liable for:
  • errors in drafts
  • accounting losses
  • tax penalties
  • interest
  • indirect or consequential losses

Total liability of Zigetti Ltd, whether in contract, tort, or otherwise, shall not exceed the fees paid by you to SmartBookkeeping in the preceding 12 months.

Nothing in these terms limits liability for fraud or matters that cannot be excluded by law.

Zigetti Ltd reserves the right to:

• suspend access
• revoke access
• limit usage

at any time, including where:

• misuse is suspected
• system integrity is at risk
• legal or compliance concerns arise

SmartBookkeeping is an evolving software service.

Zigetti Ltd may:

• change features
• modify workflows
• update automation logic
• amend these terms

Continued use constitutes acceptance of updated terms.

These terms are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
